Our legal associates have years of experience in drafting both upstream and downstream contracts, in both the gas and petroleum sectors. Midnight Energy Associates specializes in contract risk analysis and negotiating energy contracts.
We are increasingly active in the renewable energy sector which has required us to provide our contract and legal analysis services to also cover the wind generation and waste-to-energy sectors for example.
Midnight Energy Associates also provides firms and governments advice on the best form of energy contracts including the appropriate choice between Power Purchase Agreements (PPA) and Energy Conversion Agreements (ECA).
Our financial modeling skills complement and support our legal analysis by quantifying the risks associated with different contract structures and the incidence of those risks when there is a non force majeure event.
We are currently assessing the contractual risks in Bangladesh, Pakistan and Yemen. In Bangladesh we our advising our client on the contractual and financing issues associated with building a coal-fired power plant using clean coal technology. Bangladesh has dwindling reserves of gas and its coal deposits are scattered around the country and generally located away from the main demand centers.
Midnight Energy Associates is advising our client on the options associated with both PPA agreements and ECA agreements and the relative merits and demerits in a market like Bangladesh. As well s the contractual risk we also look at the effect of market risks, ie where market reforms may in the future adversely affect any contract entered into now. This also forms part of our risk mitigation advice when formulating such contract structures.
